How to sell Epic Games shares

Epic Games is more than thirty years old, controlled by its founder, backed by Tencent, Disney, Sony and KIRKBI, and has no listing filed or announced. Its last round — Disney’s $1.5 billion in February 2024 — priced the company below its 2022 peak, and the secondary market has priced it lower still. For a holder, that sets up a plain question: how to sell at a company with no exit on the calendar. Here is how it works.

Start with what you hold

Epic’s holders span decades: long-tenured employees with common from early grants, former employees who exercised, current staff with options or RSUs, and investors with preferred or common from strategic rounds. Those distinctions decide everything. Shares you own can be sold where the company’s rules permit; unexercised options cannot move on their own, and a former employee’s exercise window may be the real deadline; and a fund or SPV interest moves under that vehicle’s agreement first. Pull your grant documents and stock certificate before talking to anyone, including us.

How Epic Games liquidity actually works

Epic has not published a void-transfer notice, and no tender or buyback has been announced. Its stock carries the standard controls: transfers need company approval, and a right of first refusal typically lets the company or its investors step into a priced sale. Consent is the first diligence item. The recorded market shows a company that approves direct transfers: 10 of the 11 Epic Games secondaries recorded on PrivateMarketView from November 2025 to April 2026 were direct transfers of common onto the ledger, with a single SPV interest. At a founder-controlled company with no listing on the calendar, that consented secondary is not a bridge to an IPO — for most holders it is the route.

What the stock is worth

The round history runs the wrong way for a seller anchored on it: $31.5 billion on $2 billion from Sony and KIRKBI in April 2022, then $22.5 billion on Disney’s $1.5 billion in February 2024, and secondary references through 2026 well below that. The live numbers — the current mark, the round history, the recorded trade aggregates and the investor book — are maintained on the Epic Games data page, published from PrivateMarketView, the data platform behind this site. None of those references is your price. Buyers price common off the recent tape, not off a strategic investor’s round, and the number for your block comes from them. Treat any quote for common pegged to the Disney price with care.

The hold question

Most names on this site carry an IPO question. Epic carries a harder one: there is no listing filed or announced, and a founder-controlled company with strategic backers is under no pressure to set one. Holding means holding for an undefined period, with your return tied to a business that is in the middle of large changes in how games are distributed. Selling now means a negotiated price below the last round. Many holders split the difference — sell part, keep the rest. Which is right turns on your own concentration, cash needs and tax position; a desk should inform that decision and never make it.

How a sale runs through this desk

Tell the desk what you hold — class, rough size, how you acquired it, exercised or not — and your timing. We confirm what your position can do under the company’s rules first, including the ROFR terms in your documents. The position then goes to buyers without your name on it, and indications on clean files usually come back within a business day. You are not named until you agree to proceed, there is no fee to ask, and the fee on a brokered block is quoted on your file in writing — how the fee works. The close runs through a FINRA-registered broker-dealer; our CRDs are on the about page.

Common questions

Can I sell my Epic Games shares?
Usually, yes — within the company’s process. Epic Games has not published a void-transfer warning of the kind OpenAI and Anthropic have, but its stock carries the standard private-company controls: a transfer needs company approval and typically faces a right of first refusal. There is no tender program, so a consented secondary is the route. The first step on any file is confirming what your specific holding can do under your documents.
Does Epic Games run tender offers or buybacks?
None has been announced publicly. Liquidity in the name has come through consented secondaries, and on PrivateMarketView those have been almost all direct: 10 of the 11 Epic Games secondaries recorded over the past year were direct transfers of common stock onto the ledger, with one SPV interest. If a tender is announced, understand it before doing anything else.
Does Tim Sweeney’s control matter to my sale?
It shapes the setting more than the paperwork. Epic is a founder-controlled company: Tim Sweeney holds voting control, with Tencent, Disney, Sony and KIRKBI among the large minority holders. A controlled private company has no pressure to list on anyone’s timetable and decides transfer approvals on its own terms. For a seller that means the consented secondary is not a stopgap before an IPO; for many holders it is the main route.
Can I sell unexercised Epic Games options?
Not on their own. Options are personal and do not transfer; the usual solutions are exercising at close with the proceeds or a structure the company’s documents permit. Holders whose strike is close to today’s secondary prices should run the numbers with a tax adviser before engaging a buyer — the exercise may not pay.
What is Epic Games stock worth right now?
Not the 2024 round. Disney invested $1.5 billion at a $22.5 billion valuation in February 2024, itself down from $31.5 billion in 2022, and secondary references through 2026 have sat well below that. The current mark, the round history and the recorded trade aggregates are on the Epic Games data page, published from PrivateMarketView, the data platform behind this site. None of those is your price.
Should I wait for an Epic Games IPO instead of selling?
There may not be one to wait for. Nothing is filed or announced, and a founder-controlled company that has raised from strategic investors has no obligation to list. Holding is a real choice — with real time and concentration risk — and so is selling part in a consented secondary and keeping the rest. The right split depends on your concentration, cash needs and taxes.
