The Exchange

What is the Exchange?

The Exchange is where Premier Alternatives lists secondary blocks of private company shares and co-invest allocations that are currently available. Every transaction is brokered, negotiated privately, and confidential. Listings show the company, structure, size and indicative price; full details are available to verified accredited investors.

Who can transact?

Buyers must be accredited investors (or institutions that qualify as such) and are typically writing $250K or more per transaction. Sellers are shareholders, employees, early investors and funds holding positions in late-stage private companies.

Do I need an account to see listings?

You can browse the book without an account. Viewing full listing details and indicating interest requires a free account plus an accreditation attestation.

How do I become accredited?

Create an account and complete the accreditation attestation. Accredited investors generally have income over $200K per year ($300K jointly) or net worth over $1M excluding a primary residence; entities and licensed professionals qualify under separate tests.

Selling Shares

How do I sell my private company shares?

Tell us the company, share class, approximate size and your timing. We confirm transferability with you, take the position to our buyer network confidentially, and negotiate price and structure on your behalf. You are never named until you choose to be.

What if the company restricts transfers?

Most late-stage companies have a right of first refusal or board approval on transfers. We work within those rules: a direct transfer where the company allows it, or an alternative structure (such as a forward contract or SPV) where it does not. We will tell you up front which is realistic for your company.

What does it cost to sell?

There is no cost to list or to have a conversation. Placement fees are agreed in writing before any transaction and are disclosed in the engagement.

How long does a sale take?

Finding a buyer can take days for a well-known name and weeks for a less liquid one. Once terms are agreed, company approval and closing typically take 30 to 90 days depending on the issuer.

How do I buy into a listing?

Open the listing, indicate the size you are considering, and confirm your accreditation. We come back with full terms, the transaction structure and next steps. Indications are not binding.

What structures do you offer?

Direct transfers (shares move to your name on the cap table), single-layer SPVs (you hold an interest in a vehicle that owns the shares directly), forward contracts, and co-invest allocations in primary rounds. Each listing states its structure.

What is the minimum?

Most listings carry a minimum, typically $250K and often higher for SPV and allocation deals. The minimum is shown on each listing.

Can I ask for a company that is not listed?

Yes. A large share of what we transact never appears on the Exchange. Contact us with the name and size and we will source it.

Process & Confidentiality

Who is on the other side?

Counterparties are introduced only once both sides have agreed to proceed. Until then, buyers see the position and sellers see the indication, not the identities.

Who executes the transaction?

Securities transactions are effected through the broker-dealers our representatives are registered with. See the compliance disclosure in the footer.
