How to sell VAST Data shares

VAST Data’s 2026 round was unusual: about $1 billion at a $30 billion valuation, most of it reported to be employees and early investors selling existing shares rather than new money for the company. For anyone who did not sell then, the question is what exists now that the window has closed. Here is how selling the stock works between windows, what the recorded trades looked like, and the decisions that are genuinely yours.

The 2026 holder window

VAST Data announced its Series F on April 22, 2026 — about $1 billion at a $30 billion valuation, led by Drive Capital with Access Industries, NVIDIA, Fidelity and NEA. Israeli business press reported beforehand that the bulk of the cash would go to existing stockholders, and afterwards that shares sold by employees and early investors were priced at about a 15 percent discount to the round. Estimates of the secondary’s size differ, and the company’s own documents control. That window was tied to the round and has closed. It tells a holder two things: the company is willing to arrange liquidity, and when it does, it sets the price. If another window opens, understand it before doing anything else.

Start with what you hold

Employees and former employees — in New York, Israel and elsewhere — typically hold options or RSUs, exercised or not, mostly in common; early investors hold preferred from a round, directly or through a fund or SPV. Shares you own can be sold where the company’s rules permit; unexercised options cannot move on their own; and an SPV interest moves under the vehicle’s own agreement first. Holders outside the United States should expect tax questions in more than one jurisdiction. Pull your grant documents and stock certificate before talking to anyone, including us.

Between windows

VAST Data has not published a void-transfer notice. Its stock carries the standard controls — company approval for any transfer and a right of first refusal — and consent is the first diligence item. The recorded market is mixed: of the 13 VAST Data secondaries recorded on PrivateMarketView from February to July 2026, six were SPV interests, four forward contracts and three direct transfers, mostly on common. A forward pays now for shares delivered later and leaves you holding the tax position and the obligation; many stock agreements restrict any contract to transfer an interest, not only the transfer itself. Read yours before a forward is priced — the structures compared.

What the stock is worth

The round history: $9.1 billion at the Series E in late 2023 and $30 billion at the April 2026 Series F, with the holder secondary reported at a discount to it. The live numbers — the current mark, the round history, the recorded trade aggregates and the investor book — are maintained on the VAST Data data page, published from PrivateMarketView, the data platform behind this site. None of those references is your price. Buyers will remember the discount the company’s own holder sale cleared at; common prices differently from preferred; and a forward prices delivery risk as well as the company.

How a sale runs through this desk

Tell the desk what you hold — class, rough size, direct or through an SPV, exercised or not — and your timing. We confirm what your position can do under the company’s rules first, including whether your documents reach forwards. The position then goes to buyers without your name on it, and indications on clean files usually come back within a business day. You are not named until you agree to proceed, there is no fee to ask, and the fee on a brokered block is quoted on your file in writing — how the fee works. The close runs through a FINRA-registered broker-dealer; our CRDs are on the about page. Whether to wait for an IPO the CEO says the company is readying for, or sell now, turns on your own concentration, cash needs and taxes — we will inform that decision, not make it.

Common questions

Can I sell my VAST Data shares?
Usually, yes — within the company’s process. VAST Data has not published a void-transfer warning of the kind OpenAI and Anthropic have, but its stock carries the standard private-company controls: a transfer needs company approval and typically faces a right of first refusal. The company has also arranged liquidity for existing holders inside its 2026 round. The first step on any file is confirming what your specific holding can do under your documents.
Did VAST Data run a tender for employees?
In effect, yes. Its roughly $1 billion Series F at a $30 billion valuation, announced April 22, 2026, was reported to be mostly secondary — cash going to employees and early investors selling existing shares — with those shares reportedly priced at about a 15 percent discount to the round. That window was tied to the round and is closed. No new program has been announced; if one is, understand it before doing anything else.
Why do recorded VAST Data trades include so many forwards?
Of the 13 VAST Data secondaries recorded on PrivateMarketView this year, six were SPV interests, four forward contracts and three direct transfers, mostly on common. Forwards show up when direct transfers are hard to get approved. Many stock agreements restrict any contract to transfer an interest in the shares, not only the transfer itself, so read yours before a forward is priced.
Can I sell unexercised VAST Data options?
Not on their own. Options are personal and do not transfer; the usual solutions are exercising at close with the proceeds or a structure the company’s documents permit. With the valuation more than tripled since 2023, the exercise decision carries real tax consequences — in more than one country for the company’s Israeli staff — so it belongs in front of a tax adviser first.
What is VAST Data stock worth right now?
The live reference points are the $30 billion Series F — and the reported discount at which holders sold inside it — the $9.1 billion Series E in 2023, and the recorded secondary market. The current mark, the round history and the trade aggregates are on the VAST Data data page, published from PrivateMarketView, the data platform behind this site. None of those is your price.
Should I wait for a VAST Data IPO instead of selling?
That is a real option with real costs. The CEO has said the company is readying itself for an IPO, but nothing is filed, and a round that pays out existing holders is usually a sign a listing is not imminent. After any listing, employee and early-holder shares are typically locked up for about six months. The middle path many holders take: sell part now and keep the rest; the split depends on your concentration and taxes.
