How to sell OpenAI shares

OpenAI is the name with the loudest secondary demand in the world — and the company that has said most plainly, in writing, that it will void a transfer it did not consent to. Both facts belong on the same page. Here is what a holder can actually do, and how to tell a real route from a void one.

The warning that governs everything

In August 2025, OpenAI published a notice — and has repeated it since — that its equity cannot be transferred, directly or indirectly, without the company’s written consent, and that non-compliant transfers are void. It named the forms specifically: direct sales, SPV interests, tokenized exposure, and forward contracts. A purported sale outside the rules, in the company’s words, will not be recognized and carries no economic value. This is not boilerplate; it is the operating fact of the OpenAI secondary market. A large unconsented market exists anyway — most of the recent OpenAI trades recorded on PrivateMarketView ran through SPVs — and the warning is exactly about that market. The one question that sorts real from void: has OpenAI consented to this transfer, in writing?

The routes that are real

Two. The tender rounds: OpenAI has periodically authorized windows in which eligible current and former employees sell capped amounts to investors the company selects, at a company-set price. Eligibility and timing are the company’s; no outsider can get you in. Consented transfers: sales the company approves in writing, which exist case by case. Everything else on offer in this name — the SPV a stranger is marketing, the token, the forward — is the category the company has said it will void. That does not make every structure everywhere illegitimate; it makes consent the first diligence item, before price, before paperwork.

What you hold after the recapitalization

OpenAI’s employee equity historically took the form of profit participation units. In the late-2025 recapitalization into OpenAI Group PBC, under the OpenAI Foundation, holdings converted to stock of the new company. The form changed; the control did not — transfer still runs through the company’s consent. Pull your grant documents and portal statement before talking to anyone: what you hold, what has vested, and what the current paper actually says are the file.

What it is worth

The 2026 rounds and the quoted secondary market are the reference points, maintained on the OpenAI data page, published from PrivateMarketView, the data platform behind this site. One caution specific to this name: quoted levels in a market the company voids are quotes for exposure that may be nothing. The price that matters is the one a company-recognized trade clears at — in a tender, or in a consented transfer — and that is the number a serious process goes and finds.

How this desk handles an OpenAI file

Honestly, and sometimes the honest answer is “not yet.” We confirm what you hold and what OpenAI’s current rules let it do; where the company’s consent is realistically available, the position goes to buyers without your name on it, and where it is not, we say so and watch the name with you — tender windows and rule changes reach holders who are ready first. No fee to ask, nothing up front, the fee quoted in writing on the file — how the fee works. Trades close through a FINRA-registered broker-dealer; CRDs on the about page.

Common questions

Can I sell my OpenAI equity?
Sometimes — through the routes OpenAI recognizes: a company-authorized tender round when one runs, or a transfer the company consents to in writing. OpenAI has said plainly that anything else — direct sales without consent, SPV interests, tokenized exposure, forward contracts — is void and carries no economic value. The first question on any OpenAI file is not price; it is whether the company will recognize the trade.
What did OpenAI actually say about SPVs and forwards?
In an August 2025 notice, repeated in 2026, OpenAI said its equity cannot be transferred directly or indirectly without its written consent, that non-compliant transfers — naming SPVs, tokenized interests and forward contracts — are invalid, and that a purported sale "will not be recognized and carry no economic value." Treat any pitch for unconsented OpenAI exposure accordingly: what is being sold may be nothing.
What are the tender rounds?
OpenAI has periodically authorized tender rounds in which eligible current and former employees sell a capped amount to investors the company selects, at a company-set price. They are the main sanctioned liquidity the stock has had. Eligibility, caps and timing are the company’s alone — a desk cannot get you into one, and anyone claiming otherwise is a warning sign.
I held PPUs — what do I hold now?
OpenAI’s employee equity historically took the form of profit participation units rather than ordinary shares. In the late-2025 recapitalization into OpenAI Group PBC, holdings converted into stock of the new company. The transfer restrictions carried over: what you hold changed form; what you can do with it still runs through OpenAI’s consent.
What is OpenAI stock worth?
The reference points are the 2026 rounds and the secondary market’s quoted levels, maintained on the OpenAI data page published from PrivateMarketView, the platform behind this site. Be careful with quoted secondary levels in this name: a price for exposure the company will not recognize is not a price for your consented shares. A real indication comes from buyers, for a trade the company will actually process.
Should I wait for an OpenAI IPO?
Reporting through 2026 has pointed at IPO preparation, and nothing is filed as of this writing. If a listing comes, a lockup of about six months typically follows for insiders. The honest options are the same as at any pre-IPO name: wait, sell what the company permits now, or split the position. Which is right depends on your concentration and taxes, not on anyone’s IPO forecast.
