How to sell Kraken shares

Kraken is the rare private company that has already filed for its IPO — confidentially, in November 2025 — and then postponed it twice. For an employee or early holder that makes the question unusually concrete: the listing is close enough to plan around and far enough away to cost real time. Here is how selling Payward stock actually works today, where the past year’s secondaries cleared, and the decisions that are genuinely yours.

Start with what you hold

The shares are in Payward, Inc., the parent company behind the Kraken exchange. Kraken is more than a decade old, so its holders are unusually varied: long-tenured employees with common from early grants, former employees who exercised on the way out, newer staff with options or RSUs, and investors holding preferred from a round, directly or through a fund or SPV. Those distinctions decide everything. Shares you own can be sold where the company’s rules permit; unexercised options cannot move on their own; and an SPV interest moves under the vehicle’s own agreement first. Pull your grant documents and stock certificate before talking to anyone, including us.

How Kraken liquidity actually works

Payward has not published a void-transfer notice, and no employee tender program has been announced. Its stock carries the standard controls: transfers need company approval, and a right of first refusal typically lets the company or its investors step into a priced sale. Consent is the first diligence item. What the recorded market shows is a name that trades directly: of the 25 Kraken secondaries recorded on PrivateMarketView from November 2025 to May 2026, 23 were direct transfers onto the company’s ledger and two were SPV interests, with common stock outnumbering preferred. That pattern usually means a company that processes approvals rather than resisting them — useful, but not a promise about your file, and not one that holds as a listing approaches.

What the stock is worth

The last priced round was $800 million at a $20 billion valuation in November 2025, including $200 million from Citadel Securities; in September 2026 Nasdaq agreed to invest $100 million through Nasdaq Ventures. Since then the crypto market has been weak, and a crypto exchange’s stock tends to follow its trading volumes. The live numbers — the current mark, the round history, the recorded trade aggregates and the investor book — are maintained on the Kraken data page, published from PrivateMarketView, the data platform behind this site. None of those references is your price: a block of Payward stock prices on class, size, direct or SPV, and where the market sits on the day buyers look.

The IPO question

The timeline is public in outline. Payward submitted a draft registration statement confidentially in November 2025, put the plan on hold on March 18, 2026 as markets weakened, and on September 2, 2026 CoinDesk reported the target had moved to the second quarter of 2027 at the earliest. No public S-1 exists. A seller weighing the wait should count the whole clock: the listing date, then a lockup of typically about six months, then whatever the stock does in its first public trading. Against that sits a private sale now, with the company’s approval and a negotiated discount. The middle path — part now, the rest for the listing — is common, and the right split turns on your concentration, cash needs and taxes. That decision is yours; a desk should inform it, not make it.

How a sale runs through this desk

Tell the desk what you hold — class, rough size, how you acquired it — and your timing. We confirm what your position can do under Payward’s rules first, including the ROFR terms and anything the company has said about transfers ahead of the listing. The position then goes to buyers without your name on it, and indications on clean files usually come back within a business day. You are not named until you agree to proceed, there is no fee to ask, and the fee on a brokered block is quoted on your file in writing — how the fee works. The close runs through a FINRA-registered broker-dealer; our CRDs are on the about page.

Common questions

Can I sell my Kraken shares?
Usually, yes — within the company’s process. The stock is in Payward, Inc., Kraken’s parent. Payward has not published a void-transfer warning of the kind the AI labs have, but its shares carry the standard private-company controls: a transfer needs company approval and typically faces a right of first refusal. The first step on any file is confirming what your specific holding — common from an early grant, exercised options, settled RSUs, preferred bought in a round — can do under your documents.
Kraken filed for an IPO. Can I still sell privately?
Often, yes, but the filing changes the timetable. Payward confidentially submitted a draft registration statement in November 2025, paused its plans in March 2026, and in September 2026 was reported to be targeting the second quarter of 2027 at the earliest. Companies preparing a listing commonly tighten or pause secondary transfers as the date approaches, so the window for a private sale is real today and not guaranteed later. Ask the company, through your documents or the desk, what it is approving now.
Does Kraken run tender offers?
No program has been announced publicly. Liquidity in the name has come through consented secondaries, and on PrivateMarketView those have been overwhelmingly direct transfers: 23 of the 25 Kraken secondaries recorded over the past year moved shares directly onto the ledger, with only two SPV interests. If the company announces a tender, understand it before doing anything else.
Is Kraken stock the same as holding crypto?
No. Payward equity is a claim on the company — its exchange, its custody and payments businesses, its acquisitions — not on any token’s price. Crypto markets move the company’s revenue and therefore its valuation, which is why a buyer’s appetite for the stock rises and falls with the cycle, but the two are separate assets with separate risks and separate tax treatment.
What is Kraken stock worth right now?
The live reference points are the November 2025 round at a $20 billion valuation — $800 million, with $200 million from Citadel Securities — Nasdaq’s agreed $100 million investment in September 2026, and the recorded secondary market. The current mark, the round history and the trade aggregates are on the Kraken data page, published from PrivateMarketView, the data platform behind this site. None of those is your price; an indication for your block comes from taking it to buyers.
Should I wait for the Kraken IPO instead of selling?
That is a real option with real costs. The listing has been delayed twice; the latest reporting points to mid-2027 at the earliest, and after a listing employee and early-holder shares are typically locked up for about six months — so a seller who waits is looking at well over a year before the first exchange sale. The middle path many holders take: sell part now in a consented secondary and keep the rest for the listing. The right split depends on your concentration and your taxes.
