How to sell Deel shares

Deel, the global payroll and HR platform, has already given its people one company-arranged exit: a $300 million secondary to General Catalyst and Mubadala in February 2025. Eight months later it raised at $17.3 billion. For anyone who did not sell then — or who has more to sell — here is how the stock trades between windows, what the past year’s recorded trades looked like, and the decisions that are genuinely yours.

Start with what you hold

Deel was founded in 2019 and grew fast with a workforce spread across many countries, so its holders include early employees with common, current and former staff with options or RSUs, and investors with preferred from its rounds, directly or through a fund. Those distinctions decide everything. Shares you own can be sold where the company’s rules permit; unexercised options cannot move on their own, and a former employee’s exercise window may be the real deadline; and a fund or SPV interest moves under that vehicle’s agreement first. Holders outside the United States should expect the tax questions to depend on where they live. Pull your grant documents before talking to anyone, including us.

The 2025 secondary

In February 2025 Deel announced a $300 million secondary sale to General Catalyst and Mubadala, giving early investors and employees liquidity at a $12.6 billion valuation without new money entering the company. A company-arranged sale like this belongs to the company: nobody outside it, this desk included, could get anyone in or move its terms. What it tells a holder now is that Deel is willing to arrange liquidity and to approve transfers to buyers it is comfortable with. It does not say when another window will open, and none has been announced. If one does, understand it before doing anything else — a desk that cannot recommend against itself is selling, not advising.

Between windows

Deel has not published a void-transfer notice. Its stock carries the standard controls — company approval for any transfer and a right of first refusal — and consent is the first diligence item. The recorded market is straightforward: all nine Deel secondaries recorded on PrivateMarketView from December 2025 to July 2026 were direct transfers onto the ledger, with preferred outnumbering common and no SPV or forward structures. That is a market of buyers who want the shares themselves. Buyers will also do their own reading of public matters — including the litigation Rippling filed against Deel in 2025 — and price what they find.

What the stock is worth

The reference points: $12.6 billion on the February 2025 secondary and $17.3 billion on the $300 million Series E led by Ribbit Capital, with Andreessen Horowitz and Coatue, in October 2025. The live numbers — the current mark, the round history, the recorded trade aggregates and the investor book — are maintained on the Deel data page, published from PrivateMarketView, the data platform behind this site. None of those references is your price. A block prices on class, size and the recent tape, and the number for yours comes from buyers. Whether to wait for an IPO nobody has filed for — and its lockup, typically about six months — or sell now turns on your own concentration, cash needs and taxes.

How a sale runs through this desk

Tell the desk what you hold — class, rough size, exercised or not, and where you are based — and your timing. We confirm what your position can do under the company’s rules first, including the ROFR terms in your documents. The position then goes to buyers without your name on it, and indications on clean files usually come back within a business day. You are not named until you agree to proceed, there is no fee to ask, and the fee on a brokered block is quoted on your file in writing — how the fee works. The close runs through a FINRA-registered broker-dealer; our CRDs are on the about page.

Common questions

Can I sell my Deel shares?
Usually, yes — within the company’s process. Deel has not published a void-transfer warning of the kind OpenAI and Anthropic have, but its stock carries the standard private-company controls: a transfer needs company approval and typically faces a right of first refusal. The company has also arranged a secondary for employees and early investors. The first step on any file is confirming what your specific holding can do under your documents.
Does Deel run tender offers for employees?
It has arranged one. In February 2025 Deel announced a $300 million secondary sale to General Catalyst and Mubadala, giving early investors and employees liquidity at a $12.6 billion valuation. That window is closed and no new one has been announced. If the company opens another, understand it before doing anything else — a company-arranged sale is usually the cleanest execution a private stock offers.
Can I sell unexercised Deel options?
Not on their own. Options are personal and do not transfer; the usual solutions are exercising at close with the proceeds or a structure the company’s documents permit. Deel’s workforce is spread across many countries, so the tax treatment of an exercise and a sale depends heavily on where you live — talk to a local adviser first.
How do Deel secondaries usually settle?
Directly. Every one of the nine Deel secondaries recorded on PrivateMarketView over the past year was a direct transfer onto the company’s ledger, with no SPV or forward structures, and preferred outnumbered common. That usually means a company that processes approvals, with demand from buyers who want the shares themselves. Your file still has to clear the company’s approval and ROFR.
What is Deel stock worth right now?
The live reference points are the $300 million Series E at a $17.3 billion valuation, led by Ribbit Capital in October 2025, the $12.6 billion secondary in February 2025, and the recorded secondary market since. The current mark, the round history and the trade aggregates are on the Deel data page, published from PrivateMarketView, the data platform behind this site. None of those is your price.
Should I wait for a Deel IPO instead of selling?
That is a real option with real costs. Nothing is filed and no date exists; after any IPO, employee and early-holder shares are typically locked up for about six months. Buyers will also weigh public matters such as the litigation Rippling filed against Deel in 2025, whatever its status when you sell. The middle path many holders take: sell part now and keep the rest. The split depends on your concentration and taxes.
